Navigating the Path: In-House Counsel Internship Requirements and Opportunities
An internship as in-house counsel provides invaluable experience for law students seeking to understand the practical realities of corporate legal departments. These internships offer a glimpse into the diverse responsibilities of in-house attorneys and provide opportunities to develop essential legal skills. This article explores the requirements and opportunities associated with in-house counsel internships, drawing upon examples from various organizations.
The Value of In-House Counsel Internships
In-house counsel internships provide law students with hands-on experience in a corporate legal setting. Interns gain exposure to various legal issues that businesses face, including litigation, transactional matters, employment law, and regulatory compliance. These experiences prepare interns for future careers as in-house counsel or in other legal fields.
Essential Components of Internship Programs
Several key components define a successful in-house counsel internship program:
- Meaningful Assignments: Interns should be given assignments that are appropriate for their experience level and provide opportunities for growth.
- Mentorship: Pairing interns with experienced attorneys who can provide guidance and support is crucial.
- Exposure to Different Practice Areas: Interns should have the chance to work on projects related to various legal disciplines to gain a broad understanding of in-house practice.
- Networking Opportunities: Internship programs should include opportunities for interns to connect with attorneys and other professionals within the organization.
- Training and Development: Interns should receive training on relevant legal topics and professional skills.
Eligibility and Application Requirements
Academic Standing and Qualifications
Most in-house counsel internship programs are open to law students who have completed at least one year of law school. Some programs, like the Office of General Counsel 1L Law Student Internship Program at Deloitte, are specifically designed for rising second-year law students.
Academic achievement is often a significant factor in the selection process. For instance, selected students are highly-accomplished top-tier scholars that have been vetted through a highly-competitive selection process. Academic achievement and class standing are weighed most heavily. Deloitte, for example, prefers candidates with an undergraduate GPA of at least 3.5 and a law school GPA of at least 3.3 (or equivalent).

Required Application Materials
A complete application typically includes the following:
- Resume: A concise resume (usually no more than two pages) that highlights relevant experience, education, and skills.
- Transcript: An official or unofficial law school transcript. First-year law students may apply before they receive their law school grades and supplement their application when their grades become available.
- Writing Sample: A legal writing sample (typically no more than five pages) that demonstrates the applicant's research, analysis, and writing abilities.
- Cover Letter: A cover letter explaining the applicant's interest in the internship and relevant qualifications.
Some programs may also require additional materials, such as an essay. For example, Deloitte requires applicants to respond to an essay question about how they intend to leverage their law degree and life experiences to make an impact in their community and/or career.
Skills and Attributes
Successful in-house counsel interns typically possess the following skills and attributes:
- Intellectual curiosity, self-motivation, and collaboration skills
- Eagerness to learn about legal, business, and compliance issues relevant to a large professional services firm and interest in working in a fast-paced in-house legal setting
- Strong research, writing, organization, and communication skills
- Commitment to working with and learning from individuals of different backgrounds
Background Checks and Security Clearances
Students who have been preliminarily selected for an internship or externship position must thereafter supply information for a background check and be granted a favorable security clearance in order to work in this Office.
School Permission
Your law school must execute a Volunteer Agreement as part of the final clearance process for students who have been preliminarily selected for an internship or externship position.

Internship Opportunities in Various Sectors
Government Sector
The United States Attorney’s Office for the Southern District of New York offers an unpaid summer internship program for first-year and second-year law students each year. Interns are placed in either the Criminal or Civil Division and are paired with one or two AUSAs to gain unparalleled hands-on litigation experience. Typical assignments include research and writing projects, participating in witness interviews, document analysis, assisting in preparing for depositions and oral arguments in court, and assisting with trials. The Office also hosts a variety of summer events, training sessions, and brown bag lunches to educate interns about government lawyering.
The Office also accepts a certain number of law student externs during the school year, in both our Civil and Criminal Divisions in Manhattan, and in our White Plains branch office.
Corporate Sector
Deloitte’s Office of the General Counsel (OGC) offers a 1L Law Student Internship Program designed to provide real-world and career-building experiences. Interns at Deloitte participate in training activities, work on assigned projects related to litigation, transactional, employment, regulatory investigations, and other legal matters, participate in meetings/calls related to assigned projects, shadow OGC team members, and participate in social, professional, and other networking opportunities.
Law Firms and Host Organizations
Host law firms agree to provide a 4-8 week internship, which includes assignments appropriate to the student’s experience and language ability and the opportunity to participate in client meetings, document preparation and/or review and research.
Diversity, Equity, and Inclusion
Many organizations emphasize diversity, equity, and inclusion (DE&I) in their internship programs. For example, Deloitte is committed to Diversity, Equity and Inclusion (DE&I) and strongly encourages students who come from diverse backgrounds, have diverse experiences, or share Deloitte’s commitment for DE&I to apply.
